Agreement to Terms

By accessing or using the LobbyLogix™ website and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors, users, and others who access or use the Services.

Description of Services

LobbyLogix™ is a revenue recovery and capture firm serving franchises and small-to-mid-sized businesses (SMBs). Our Services include but are not limited to:

• CommandDeck™ Ai Suite: AI-powered call handling, chat, scheduling, and intake automation
• PropelDeck™: Growth acceleration suite including SEO, marketing, and competitive intelligence
• WebDeck™: Website development and optimization services
• Revenue Intelligence Reports: Business assessment and analysis tools

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Engage in any fraudulent, deceptive, or misleading practices
• Use the Services for any illegal or unauthorized purpose
• Harvest or collect user information without consent

Intellectual Property Rights

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by LobbyLogix™, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

LobbyLogix™, CommandDeck™, PropelDeck™, WebDeck™, and related logos are trademarks of LobbyLogix™. You may not use these marks without our prior written permission.

Payment Terms

For paid Services:

• All fees are quoted in US dollars and are non-refundable unless otherwise specified
• Payment is due according to the billing cycle specified in your service agreement
• We reserve the right to modify pricing with 30 days' notice
• Late payments may result in service suspension or additional fees

Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend Services for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. LOBBYLOGIX™ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOBBYLOGIX™, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

Indemnification

You agree to defend, indemnify, and hold harmless LobbyLogix™ and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in courts located in the United States.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
